As a buyer, many companies may enter a deal that looks great on the surface, but when it is unwrapped, problems are discovered. SAS has deep experience in the pre-diligence stage and understands how critical it can be to uncover as many potential liabilities and contingency events as possible during the deal structuring and due diligence process.
In November of 2018 we were approached by a company based in Barcelona, Spain who wanted to make a very specific and strategic acquisition in the United States. Building their own specialty manufacturing plant and brand was not an option. The risk was too great and the time to payback was too long. There were a very limited number of potential targets. SAS was retained to approach the targets confidentially, gauge interest, create interest where none existed and initiate a buy side process that culminated in a total acquisition. SAS researched the market, created the opening with the target in Fort Worth Texas, led the discussions, negotiated the deal, facilitated and led the due diligence, structured the financing and managed the post-acquisition integration. In addition to the normal deal issues we had to bridge the cultural and language barriers that existed.
